SMS / Messaging Terms

INTRODUCTION

These SMS/Messaging Terms (“Messaging Terms”) govern text-message communications sent by or on behalf of Afterwork Momentum LLC (“Afterwork Momentum,” “AWM,” “we,” “us,” or “our”) to telephone numbers that interact with or enroll in an Afterwork Momentum messaging program.

These Messaging Terms supplement the Afterwork Momentum Terms of Use and Privacy Policy.

By opting in to an Afterwork Momentum SMS or MMS messaging program, you agree to the terms applicable to that messaging program.

Consent to receive marketing text messages is not required as a condition of purchasing services from Afterwork Momentum.

1. PROGRAM NAME

The messaging program covered by these terms is:

Messages sent under the program should identify Afterwork Momentum or otherwise make the sender reasonably clear.

2. PROGRAM DESCRIPTION

Afterwork Momentum may use SMS or MMS messaging to communicate with people who contact or do business with us.

Depending on the communication and the consent provided, messages may include:

  • responses to questions or requests;
  • follow-up after an inquiry;
  • responses related to an inbound telephone call;
  • appointment confirmations;
  • appointment reminders;
  • scheduling updates;
  • service-related communications;
  • account or client updates;
  • requested information;
  • customer-service communications;
  • notifications concerning a current business relationship;
  • follow-up regarding Afterwork Momentum services;
  • educational information;
  • announcements;
  • promotional or marketing communications when separately authorized; and
  • other messages reasonably related to the messaging program you joined.

The exact messages you receive depend on the reason you provided your number and the permissions you provided.

3. MARKETING AND NON-MARKETING MESSAGES

Afterwork Momentum distinguishes between marketing/promotional messaging and informational/non-marketing messaging.

Informational or non-marketing messages may include:

  • responses to inquiries;
  • appointment information;
  • scheduling messages;
  • requested information;
  • customer-support communications;
  • service updates; and
  • communications reasonably related to an existing request or business relationship.

Marketing or promotional messages may include:

  • promotional offers;
  • announcements about services;
  • marketing campaigns;
  • special offers;
  • educational marketing content; or
  • other promotional communications.

Where both types of messaging are offered through an opt-in form, marketing and non-marketing consent must be presented separately so a person can choose which category, if any, they wish to receive.

Consent to one category does not automatically constitute consent to the other category.

Providing a telephone number by itself does not constitute consent to receive marketing text messages.

Where Afterwork Momentum requests SMS consent through a website form, booking form, chat experience, or similar opt-in mechanism:

  • the SMS consent choice must be separate from the telephone-number field;
  • the consent option must not be pre-selected;
  • SMS consent must remain optional;
  • marketing and non-marketing consent must be separated when both are offered;
  • the messaging disclosure should identify Afterwork Momentum;
  • the disclosure should describe the type of messaging;
  • the disclosure should state that message frequency may vary;
  • the disclosure should state that message and data rates may apply;
  • STOP instructions should be provided; and
  • Privacy Policy and Terms links should be reasonably accessible.

Consent applies to the telephone number and messaging program for which it was provided.

Consent should not be treated as transferable to another person merely because a telephone number later changes ownership.

5. HOW YOU MAY OPT IN

When available, you may enroll in an Afterwork Momentum messaging program through an approved opt-in method presented by Afterwork Momentum.

Examples may include an authorized:

  • website form;
  • website assistant or chat experience;
  • booking or scheduling form;
  • written consent method;
  • text-message enrollment process; or
  • other documented opt-in process.

Not every method will necessarily be available.

The specific disclosure presented when you opt in governs the type of messages you have authorized.

After enrollment in a recurring messaging program, Afterwork Momentum may send a confirmation message containing applicable program information and opt-out instructions.

6. MESSAGE FREQUENCY

Message frequency varies.

The number and frequency of messages you receive will depend on factors such as:

  • the messaging program you joined;
  • your interactions with Afterwork Momentum;
  • appointments;
  • open requests;
  • service activity;
  • communication preferences; and
  • whether you separately agreed to marketing communications.

Some users may receive only a small number of messages associated with a specific request, while participants in an authorized recurring program may receive messages periodically.

Afterwork Momentum does not guarantee a fixed number of messages unless a specific opt-in disclosure expressly states otherwise.

7. MESSAGE AND DATA RATES

Message and data rates may apply.

Your mobile carrier may charge fees for sending or receiving SMS or MMS messages according to your wireless plan.

Afterwork Momentum does not control charges imposed by your carrier.

For questions concerning your text or data plan, contact your wireless provider.

8. HOW TO OPT OUT

You may cancel an Afterwork Momentum SMS or MMS messaging program at any time.

Reply:

STOP

to an Afterwork Momentum text message to request cancellation.

After receiving a valid STOP request, we may send one final confirmation message confirming that you have been unsubscribed.

After the opt-out is processed, you should no longer receive messages covered by the revoked consent unless:

  • you later provide new consent;
  • you independently initiate a new conversation for which a direct response is appropriate; or
  • another communication is legally permitted without the revoked consent.

Where required by applicable law, Afterwork Momentum will also recognize other reasonable communications that clearly express a request to stop receiving applicable text messages.

Examples may include language such as:

  • CANCEL
  • END
  • QUIT
  • UNSUBSCRIBE
  • OPT OUT
  • REVOKE

or another clear request to stop messaging.

You may also contact Afterwork Momentum directly if you are unable to opt out by text.

9. REJOINING AFTER AN OPT-OUT

If you previously opted out and later want to receive messages again, you may enroll again using an available Afterwork Momentum opt-in method.

A previous opt-out will not be treated as automatically reversed merely because you continue to use the website or purchase a service.

11. CARRIER LIABILITY

Carriers are not liable for delayed or undelivered messages.

12. MESSAGE DELIVERY

Delivery of SMS or MMS messages is not guaranteed.

Messages may be delayed, blocked, filtered, duplicated, interrupted, or undelivered because of circumstances such as:

  • carrier filtering;
  • mobile-network conditions;
  • device configuration;
  • internet or telecommunications outages;
  • incorrect telephone numbers;
  • number reassignment;
  • software errors;
  • platform outages;
  • spam-detection systems;
  • technical failures;
  • carrier policies; or
  • circumstances outside Afterwork Momentum's reasonable control.

A message marked as sent by our systems does not necessarily mean that the recipient's carrier or device successfully delivered or displayed it.

13. MOBILE CARRIER SUPPORT

Messaging availability may depend on your wireless carrier, mobile device, service plan, and location.

Not every carrier, number type, or device necessarily supports every SMS or MMS feature.

Afterwork Momentum does not control carrier networks or carrier messaging policies.

14. TELEPHONE NUMBER CHANGES AND REASSIGNMENT

You are responsible for providing a telephone number that you are authorized to use.

If you:

  • stop using a telephone number;
  • transfer a number;
  • change your number;
  • lose control of the number; or
  • know that the number has been reassigned,

you should notify Afterwork Momentum or opt out before relinquishing the number when reasonably possible.

We may remove, suppress, or stop messaging a number if we reasonably believe it has been reassigned, is invalid, or should no longer receive messages.

Afterwork Momentum may maintain records related to messaging compliance and communication preferences.

These records may include information such as:

  • telephone number;
  • date and time of consent;
  • method of consent;
  • consent language presented;
  • categories of messaging selected;
  • source of the opt-in;
  • opt-out requests;
  • suppression status;
  • delivery information; and
  • other records reasonably necessary to administer the messaging program or demonstrate communication preferences.

Consent and suppression records may be retained after other information is deleted when reasonably necessary to document preferences, prevent unwanted messaging, or comply with legal or carrier requirements.

16. PRIVACY AND MOBILE INFORMATION

Afterwork Momentum's collection and use of personal information is described in our Privacy Policy.

The Privacy Policy must remain linked from this page.

Afterwork Momentum does not sell or share SMS opt-in data or personal information with third parties for their independent marketing purposes.

No mobile information will be shared with third parties or affiliates for their own marketing or promotional purposes.

Information may be provided to service providers and subcontractors that help us operate messaging, CRM, telecommunications, customer support, infrastructure, automation, security, or related functions when reasonably necessary to provide those services.

Text-message originator opt-in data and consent will not be sold or provided to third parties for their own marketing purposes.

17. SERVICE PROVIDERS

Afterwork Momentum may use third-party providers to operate portions of its messaging infrastructure.

These may include providers supporting:

  • CRM systems;
  • telecommunications;
  • SMS and MMS delivery;
  • telephone services;
  • automation;
  • cloud infrastructure;
  • customer support;
  • consent records;
  • analytics related to message delivery; and
  • related technical services.

Those providers may process information as reasonably necessary to provide services to Afterwork Momentum.

Their systems, networks, and carrier relationships may affect message delivery and availability.

18. AFTERWORK MOMENTUM CLIENT MESSAGING PROGRAMS

Afterwork Momentum also provides customer-communication and messaging-related services to business clients.

These Messaging Terms primarily govern SMS and MMS messages sent by or for Afterwork Momentum's own business.

If you receive a text message from one of Afterwork Momentum's business clients, that business may be the sender or controller of the messaging program.

In that situation:

  • the client's own messaging terms may apply;
  • the client's own privacy policy may apply;
  • consent is generally provided to that client, not automatically to Afterwork Momentum for unrelated marketing; and
  • questions concerning the client's messaging program should generally be directed to that business.

Afterwork Momentum may act as a technology provider or service provider for those client communications.

19. MISSED-CALL AND REQUESTED FOLLOW-UP

Afterwork Momentum may use SMS as part of a response to an interaction you initiated, such as:

  • calling Afterwork Momentum;
  • submitting a request;
  • asking for follow-up;
  • requesting scheduling assistance; or
  • otherwise initiating communication.

A direct response to an interaction you initiated should not be interpreted as permission for unrelated recurring marketing communications.

Where separate marketing consent is required, Afterwork Momentum will use a separate opt-in process.

20. APPOINTMENT AND SERVICE MESSAGES

If you authorize applicable informational messaging, Afterwork Momentum may send texts concerning:

  • appointment confirmations;
  • appointment reminders;
  • changes to scheduled times;
  • follow-up requests;
  • requested service information; or
  • similar operational communications.

Opting out of SMS may mean that certain updates must instead be provided through another available channel such as email or telephone.

Opting out of marketing messages does not necessarily mean that you have opted out of separately authorized informational messages when applicable law and your consent choices allow those categories to remain separate.

21. MARKETING MESSAGES

Afterwork Momentum will use marketing SMS or MMS only where an appropriate basis or authorization exists.

Marketing messaging may include information relating to:

  • services;
  • offers;
  • promotions;
  • business announcements;
  • educational marketing materials; or
  • similar promotional communications.

Where express marketing SMS consent is requested:

  • it must be clearly disclosed;
  • it must be optional;
  • it must not be pre-checked;
  • it must be separate from informational/non-marketing messaging when both are offered; and
  • it is not required as a condition of purchasing services.

You may revoke marketing SMS consent at any time.

Consent to receive marketing text messages is not a condition of purchasing any property, goods, or services from Afterwork Momentum.

Declining optional marketing SMS consent should not prevent you from:

  • submitting a general website form;
  • requesting information;
  • purchasing an otherwise available service; or
  • communicating with Afterwork Momentum through another available channel.

23. NO EMERGENCY USE

Afterwork Momentum SMS messaging is not an emergency communication service.

Do not use:

  • SMS;
  • the Website Assistant;
  • Front-Desk Assistant;
  • contact forms; or
  • other Afterwork Momentum communication systems

for emergencies involving immediate threats to life, health, safety, or property.

Contact the appropriate emergency service when necessary.

24. PROHIBITED OR ABUSIVE USE

You may not use Afterwork Momentum messaging channels to:

  • transmit unlawful content;
  • threaten or harass others;
  • distribute malware;
  • attempt unauthorized system access;
  • impersonate another person;
  • interfere with messaging infrastructure;
  • conduct fraud;
  • abuse automated systems; or
  • engage in conduct prohibited by applicable law.

Afterwork Momentum may block or restrict messaging interactions when reasonably necessary to protect users, clients, systems, or the business.

25. PROGRAM MODIFICATION OR TERMINATION

Afterwork Momentum may modify, suspend, or discontinue all or part of a messaging program when reasonably necessary.

Reasons may include:

  • changes in services;
  • carrier requirements;
  • changes in technology;
  • compliance requirements;
  • platform changes;
  • security concerns;
  • abuse;
  • technical limitations; or
  • business changes.

Ending a particular SMS program does not necessarily terminate an existing client service agreement or other business relationship.

26. RELATIONSHIP TO OTHER AFTERWORK MOMENTUM TERMS

These SMS/Messaging Terms supplement:

If you become an Afterwork Momentum client, additional agreements may govern the paid-service relationship.

If a separate client agreement contains service-specific communication terms, that agreement may control for the applicable service to the extent of a conflict.

27. GOVERNING LAW

These Messaging Terms are governed by applicable federal law and, to the extent not preempted or otherwise required by applicable law, the laws of the State of South Dakota.

Nothing in these Messaging Terms eliminates rights that cannot legally be waived.

28. CHANGES TO THESE MESSAGING TERMS

Afterwork Momentum may update these Messaging Terms to reflect changes in:

  • law;
  • carrier requirements;
  • messaging practices;
  • technology;
  • services;
  • consent methods; or
  • business operations.

When these Messaging Terms are updated, the “Last Updated” date at the top of the page will be revised.

Material changes may receive additional notice when required or appropriate.

Changes apply prospectively unless applicable law requires otherwise.
